Competition ParticipationBy submitting the enclosed materials to Blackfilm.com, Inc. (the "Submission"), the undersigned author(s) (collectively referred to herein as "you") hereby agree and notify us that you wish to compete in "The Next 15 Minutes" Screenwriting Staging Competition (the "Competition"), and are delivering your Submission as an entry in the Competition in accordance with the Program Rules and Guidelines (the "Rules") located on the blackfilm.com website at http://www.blackfilm.com/next15/rules.html. You consent to the storage, copying, reviewing, promotion, coverage and any other uses necessary for the Competition of your Submission by blackfilm.com, Inc. or its assigns (collectively referred to herein as "we" or "us"), according to the process set out in the Rules. In addition, you will perform all necessary additional steps and be responsible for any and all costs incurred to cast, stage, direct, and perform your Submission should you be selected as one of the Competition winners and you consent to perform your submission at the date, time and venue reasonably determined by us. You acknowledge that in exchange for performing your Submission in compliance with the Rules and this Agreement, we will market and promote your work and you will receive a monetary honorarium. OwnershipYou represent, warrant, and agree that your Submission is your own original, previously unpublished, and previously unproduced work; that you have full right and authority to deliver your Submission to us as an entry in the Competition; that it is not based on any other work or anything written or conceived by anyone else; that you own all copyright and other intellectual property rights in and to the Submission; that the Submission does not infringe on the rights of any third parties; and that the Submission does not and will not violate any applicable laws and is not defamatory, libelous, pornographic, or obscene. Accurate DepictionYou represent, warrant and agree that the live performance of your Submission will exactly depict your written Submission; that you will not make any material changes to your Submission and will only make insignificant or unsubstantial changes to the Submission with our prior written consent, which will not be unreasonably withheld; that the Submission as performed will not infringe on the rights of any third parties; and that the Submission as performed will not violate any applicable laws and is not defamatory, libelous, pornographic, or obscene. You agree and acknowledge that your breach of this provision will result in the immediate termination of the performance of your Submission, the loss of your honorarium, and the removal of any references to you and your Submission from our website and any future promotional material related to the Competition and future Competitions. IndemnificationYou agree to indemnify us, our agents and the Competition and hold each of us harmless and defend us against any and all actual or threatened claims, demands, losses, costs, damages, judgments, liabilities, and expenses, including attorneys' fees, (collectively "Claims") arising out of or in connection with any and all claims of third parties, whether or not groundless, based on your Submission, the performance of your Submission, or any Claims arising out of or in connection with your breach of any of the provisions of the Rules or this Agreement. No Return of SubmissionsYou agree and acknowledge that the Competition has no liability whatsoever for non-receipt or loss of your Submission and you agree to remain fully liable in connection therewith. You further understand that the Competition will not return, and is not obligated to return, your Submission (or any other materials submitted to the Competition) to you. WaiverYou recognize that we (and our agents and assigns) engage in activities in creating, acquiring, and developing literary, artistic, cinematic, and other materials (including, without limitation, stories, ideas, themes, plots, titles, screenplays, formats, treatments, and other materials) (together, the "Acquisitions"). You recognize that other persons, including our own agents, may have submitted to us, or may hereafter originate, submit or make public material and/or ideas that may be competitive with, similar or identical to your Submission in theme, idea, plot, format or other respects. You acknowledge and agree that you will not be entitled to any compensation as a result of our use of any such similar or identical material that has or may come to us from other sources. By sending us your Submission, and in order to participate in the Competition, you hereby agree that (a) your Submission is entered voluntarily and is not in confidence; (b) apart from this Agreement and the Rules, there is no agreement between us, express or implied, relating to our use of the Submission; and (c) you will not assert against us any claim based on plagiarism, infringement, confidential or fiduciary relationship, implied contract, unfair competition, unjust enrichment, or otherwise arising out of any alleged use of the Submission. Nature of Our RelationshipYou acknowledge and agree that the relationship between you and us is not a confidential, fiduciary, or other special relationship, and that your decision to provide your Submission to us for purposes of the Competition does not place us in a position that is any different from the position held by members of the general public with regard to elements of your Submission or other material that are not legally protectable. You understand and acknowledge that we have wide access to ideas, stories, screenplays, and other literary materials, and that new ideas are constantly being submitted to us or being developed by us. You also acknowledge that many ideas or stories are similar to each other and different ideas and stories often relate to one or more underlying themes. You further agree that we do not now and shall not have in the future any duty or liability, direct or indirect, vicarious, contributory, or otherwise, with respect to the infringement or protection of your copyright in and to the Submission. Grant of LicenseYou hereby grant us and the Competition the nonexclusive right to use your name(s), photograph(s), likeness(es) and biographical information in connection with any and all publicity and promotional activities regarding the Competition. Choice of Law; Arbitration.This Agreement along with the Rules entered into in connection with the Competition, shall be governed by the laws of the State of New York, without regard to its conflicts of law principles. In the event of any dispute arising out of or in connection with the Competition, this Agreement, your Submission, or your relationship with us, such dispute shall be submitted to arbitration in the County of New York, State of New York, in accordance with the rules and regulations of the American Arbitration Association then in effect. Entire Agreement.This Agreement, together with the Rules, represents the entire understanding between you and us relating to the subject matter hereof, and supersedes any prior agreements between you and us on this subject matter. You hereby agree that you have read, understand, and agree to all of the terms and conditions in this Agreement and that you are by bound by the terms of this Agreement and the Rules throughout your participation in the Competition and forever afterward. Participation Agreement Governs.In the event of a conflict or ambiguity among the terms and provisions of the Rules, this Agreement or any other document, the provisions of this Participation Agreement will govern. Certification.You hereby certify that all of the answers and information that you have provided in this application process are true, accurate, and complete. You have read and will comply with the Rules and this Agreement, in conjunction with your participation in the Competition, and interactions with us. You understand that any failure to do so may result in your disqualification and if applicable, the removal of any references to you and your Submission from our website and any future promotional material related to the Competition and future Competitions. You intend that your acceptance of this Agreement and the Rules shall be evidenced by your legally binding signature below.
